The nuclear startup founded by <strong>Stefano Buono<\/strong> has announced a merger with <strong>NewHold Investment Corp III<\/strong> (Nasdaq: NHIC), an already-listed special purpose acquisition company, at a pre-money valuation of approximately <strong>$2.4 billion<\/strong>. NewHold&#8217;s extraordinary shareholder meeting has been convened to approve the business combination. Once completed, Newcleo will become a publicly traded company on the Nasdaq under the ticker <strong>NWCL<\/strong>.<\/p>\n<p>The transaction is structured to generate up to <strong>$429 million<\/strong> in gross proceeds. Of these, $220 million come from private investors through a PIPE \u2014 Private Investment in Public Equity \u2014 while the remaining $209 million represent the cash held by NewHold in its trust account. Net of fees and expenses, the actual figure drops to approximately $374 million, before any redemptions by SPAC shareholders. Newcleo has already raised more than one billion euros in capital since 2021, largely from European investors. The company is now targeting U.S. markets to fund the next phase of its development.<\/p>\n<p>The proceeds will fuel a well-defined industrial roadmap. <strong>Newcleo<\/strong> has outlined several near-term priorities: completing a non-nuclear test reactor in Italy by year-end, advancing licensing activities in France, Slovakia, and the United States, building a <strong>MOX<\/strong> fuel facility in the U.S. in partnership with Oklo, and progressing work on a 30 MWe demonstrator. The long-term goal is a commercial 200 MWe reactor, with a target date for the first operational unit set at 2032. The company&#8217;s core technology is based on lead-cooled Advanced Modular Reactors (AMRs) \u2014 a design choice that sets Newcleo clearly apart from most players in the sector.<\/p>\n<p>The path toward listing began to take shape in September 2025, when NewHold CEO Kevin Charlton met Stefano Buono at a conference in France. Discussions intensified over the following months, culminating in the definitive agreement announced in May 2026. The SPAC route was chosen for a clear strategic reason: NewHold is already listed, allowing Newcleo to go public without waiting for the lengthy timelines of a traditional IPO. The U.S. market offers capital at a far greater scale, and Newcleo&#8217;s commercial pipeline \u2014 which cites negotiations for more than 27 GWe of capacity worldwide, with 9.2 GWe described as at an advanced stage \u2014 demands resources to match.<\/p>\n<p>The merger is expected to close in the second half of 2026, subject to NewHold shareholder approval, the effectiveness of the Registration Statement with the SEC, and the satisfaction of customary regulatory conditions. If everything goes to plan, Newcleo will become the first European advanced nuclear company to list directly on the Nasdaq. This step does not change the nature of the business \u2014 headquarters remain in Paris, the Newcleo name stays \u2014 but it opens access to a significantly broader investor base.
