newcleo heads to Nasdaq: Investor Day set for September 10 ahead of listing

Franco-Italian nuclear startup newcleo, which develops lead-cooled advanced modular reactors, will host a virtual Analyst & Investor Day on September 10, 2026, ahead of its planned Nasdaq listing through a merger with SPAC NewHold Investment Corp. III. The deal values newcleo at approximately $2.4 billion and could raise up to $429 million in fresh capital.

newcleo has set September 10, 2026 as the date for its inaugural virtual Analyst & Investor Day — an event scheduled just weeks before the company’s anticipated debut on the Nasdaq. Open to analysts and investors, the session will run from 9:00 to 11:30 AM ET and will serve as a platform to present the company’s strategy ahead of its merger with SPAC NewHold Investment Corp. III.

The deal, announced on May 27, 2026, calls for newcleo to merge with NewHold — already listed on Nasdaq under the ticker NHIC — creating a U.S. public company that will trade under the symbol “NWCL”. The pre-merger valuation stands at approximately $2.4 billion, an unprecedented figure for a European company operating in the advanced reactor space. The transaction is expected to close in the second half of 2026, subject to shareholder approval and a minimum liquidity threshold of $200 million.

On the capital side, the deal could bring in up to $429 million in new funding. That figure combines the $209 million already held in NewHold’s trust with a $220 million PIPE — oversubscribed and composed primarily of North American investors. Since its founding in 2021, newcleo has raised over $780 million in private capital in total and now employs more than 900 people across Europe and the United States.

newcleo develops advanced modular reactors — AMRs — cooled by liquid lead, a technology designed to combine passive safety with low-carbon power generation. Headquartered in the United Kingdom with offices in Paris, the company also operates nuclear fuel manufacturing facilities and has built a network of over 100 industrial partnerships. The decision to pursue the U.S. market reflects a broader expansion strategy: gaining access to American capital markets and strategic assets, as evidenced by the agreement signed with Oklo for the processing of spent plutonium held in federal stockpiles.

newcleo is led by Stefano Buono, an Italian physicist who previously founded medical diagnostics company Advanced Accelerator Applications, which was sold to Novartis for nearly $4 billion in 2018. The path to Wall Street is therefore not a leap of faith, but a well-tested playbook. With the September 10 Investor Day, management will make its first structured pitch to institutional investors at a time when global demand for clean nuclear energy is surging and the Nasdaq is showing clear appetite for deep energy tech companies. If the listing proceeds on schedule, newcleo will become one of the very first European advanced nuclear players to trade on a U.S. stock exchange.
