Newcleo is bringing European nuclear energy to American markets. The Paris-based startup, founded in 2021, has announced a merger with NewHold Investment Corp. III, a Nasdaq-listed special purpose acquisition company, in a deal that values the firm at $2.4 billion and makes available up to $429 million in fresh capital. It is the largest single bet ever placed on fourth-generation nuclear technology in Europe.
Newcleo‘s reactor design is a lead-cooled fast reactor, known as an LFR, which runs on mixed oxide fuel derived from the reprocessing of existing nuclear waste. The technology aims to close the nuclear fuel cycle, significantly reducing the volume of long-lived radioactive waste. Since 2021, the company has raised more than $780 million in private capital from investors including Azimut, Exor Ventures, and Bpifrance. Once the listing is complete, total funding will exceed one billion dollars. The first commercial reactor — a 30 MWe unit — is planned for France in 2031, while in Italy, at the ENEA Research Centre in Brasimone, construction is underway on the PRECURSOR demonstration system: a scaled-down 10 MWe facility designed to replicate the core functions of the LFR-AS-30 and generate electricity via turbine.
The broader environment is supportive. M&A activity in the European nuclear sector hit a seven-year high in 2025, and the European Commission has published its Nuclear Indicative Programme 2026, estimating investment needs of $280 billion in large-scale reactors by 2050. For SMRs alone, installed capacity is expected to reach between 17 and 53 GWe by the same date. In March 2026, the Commission also established a €200 million guarantee fund to support private investment in SMR development. The sector has strong tailwinds: surging energy demand from AI-driven data centers has sharpened institutional investor appetite for firm, low-carbon generation sources.
On December 10, 2026, at Zurich’s Dolder Grand hotel, the Europe SPAC Summit will bring together — in a closed-door format — leading SPAC sponsors, investors, and high-growth European companies. The event is co-organized by AUM Advisors and MBP Global. Among the deals already closed or announced alongside Newcleo are companies such as IQM, Terra Quantum, Pasqal, OpenPayd, and Einride, operating respectively in quantum computing, fintech, and mobility. The Summit opens with a session featuring Kyivstar, Ukraine’s largest mobile operator, whose Nasdaq listing via a Cohen Circle-sponsored SPAC demonstrates that the instrument works for European companies. Brandon Sun of Cohen & Company will provide a market dynamics read-out — covering issuances, redemptions, and PIPE activity — looking ahead to 2027. Dedicated sessions will cover quantum computing, nuclear energy, cybersecurity, and defense technology: sectors that are currently commanding strong valuations and solid liquidity on US markets.
That Newcleo is reaching the Nasdaq ahead of its first commercial reactor says something significant about where European nuclear stands today. Capital is arriving before the technology is ready — and in doing so, it accelerates the technology itself. If the Brasimone demonstrator delivers the expected results and the French development timeline holds, this deal could set a precedent for other startups in the sector, and push more European companies to use the American market as a lever to finance the continent’s energy transition.
